Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Amelia (“Amelia”, “we”, “us”, or “our”), an AI-powered sales and marketing platform operated by Rothian. By accessing or using Amelia, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The service

Amelia provides tools to manage leads and contacts, create and organize products and projects, generate AI-assisted content, run multi-channel marketing campaigns, and connect third-party services such as LinkedIn. We may add, change, or remove features over time.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use Amelia. You are responsible for the information you provide, for maintaining the confidentiality of your account credentials, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

3. Acceptable use

You agree not to:

• Use the service for any unlawful, harmful, deceptive, or abusive purpose, or to send spam.
• Violate the terms or policies of any third-party service you connect (including the LinkedIn API Terms of Use and advertising policies).
• Infringe the intellectual property or privacy rights of others.
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the platform or its systems.

4. Your content

You retain ownership of the content and data you submit to Amelia. You grant us a limited license to host, process, and use that content solely to operate and provide the service to you (including sending relevant content to AI providers to generate the outputs you request). You are responsible for the content you create, approve, and publish through the platform.

5. Third-party integrations and LinkedIn

You may choose to connect third-party accounts to Amelia. Your use of those services is governed by their own terms and policies. By connecting LinkedIn, you authorize Amelia to act on your behalf strictly within the permissions you grant — for example, publishing content you have approved, or managing advertising campaigns in ad accounts you administer. You are responsible for ensuring that content you publish and campaigns you run comply with LinkedIn’s policies and applicable law. Amelia presents a review step, but you are responsible for what you approve and publish.

6. AI-generated content

Amelia generates suggestions such as draft posts, summaries, and campaign copy using AI. These outputs may be inaccurate or incomplete. You must review and approve any AI-generated content before publishing or relying on it, and you remain solely responsible for the content you choose to publish.

7. Fees and advertising spend

Where a paid plan applies, fees are described at sign-up or in your order. Any advertising budget you spend on LinkedIn is billed to you by LinkedIn directly, not by Amelia, and is subject to LinkedIn’s billing terms.

8. Intellectual property

Amelia, including its software, design, and content (excluding your content), is owned by Rothian and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the platform in accordance with these Terms.

9. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI outputs will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, Rothian and Amelia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service.

11. Indemnification

You agree to indemnify and hold harmless Rothian and Amelia from any claims, damages, or expenses arising from your content, your use of the service, or your violation of these Terms or any third-party rights or policies.

12. Termination

You may stop using Amelia at any time. We may suspend or terminate your access if you violate these Terms or to protect the service or other users. Upon termination, your right to use the platform ends; certain provisions survive termination.

13. Governing law

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. The courts of Dubai, UAE will have jurisdiction over any disputes, except where applicable law provides otherwise.

14. Changes to these Terms

We may update these Terms from time to time. We will revise the “Last updated” date above, and your continued use of Amelia after changes take effect constitutes acceptance of the revised Terms.
